Terms of Service

These Terms of Service ("Terms") govern your use of the MemoryX Chrome extension and related services ("Service") operated by MemoryX ("we", "us", "our"). By installing or using the Service, you agree to these Terms.

1. Service Description

MemoryX is a Chrome browser extension that:

• Automatically saves your conversations from supported AI platforms (ChatGPT, Claude, Gemini).
• Uses AI to extract key facts, preferences, and context from your conversations into a personal knowledge base.
• Automatically recalls and injects relevant memories when you interact with AI platforms.

The Service includes a free tier with limited credits and a paid Pro subscription with additional features and credits. AI features require credits, which are consumed when processing conversations.

2. Account Registration

To use the Service, you must create an account using a valid email address or Google sign-in. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You must provide accurate information during registration. We reserve the right to suspend accounts that use false or misleading information.

3. User Responsibilities

You agree to:

• Use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
• Not attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Not use the Service to process, store, or transmit content that is illegal, harmful, threatening, abusive, or otherwise objectionable.
• Not interfere with or disrupt the Service, servers, or networks connected to the Service.
• Not attempt to gain unauthorized access to any part of the Service or other accounts.
• Not use automated tools or scripts to access the Service beyond normal extension functionality.

4. Intellectual Property

The MemoryX name, logo, and all associated branding are the property of MemoryX. The Service software, design, and documentation are protected by intellectual property laws.

You retain ownership of all content you create and store through the Service, including your conversations and extracted memories. We do not claim any ownership rights over your content.

You grant us a limited license to process your content solely for the purpose of providing the Service (e.g., sending text to AI providers for extraction and recall).

5. Payment Terms

The Service offers a free tier and a paid Pro subscription:

• Free tier: Includes 30 one-time credits. No payment required.
• Pro subscription: Billed monthly ($9.99/month) or annually ($7.99/month, billed as $95.99/year). Includes 5,000 credits per month.
• Credit packs: Additional credits may be purchased separately.

All payments are processed by LemonSqueezy, which acts as our Merchant of Record and handles tax collection.

Subscriptions renew automatically unless cancelled. You may cancel at any time through the LemonSqueezy Customer Portal. After cancellation, Pro access continues until the end of the current billing period.

Refund requests are handled on a case-by-case basis. Please contact support@memoryx.cc for refund inquiries.

6. AI-Generated Content Disclaimer

The Service uses third-party AI models to extract facts and generate memories from your conversations. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. Extracted memories may contain errors or misinterpretations.

You are responsible for reviewing and verifying any information extracted by the Service before relying on it for important decisions.

7. Service Availability

We strive to maintain the Service's availability but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when possible.

8. Limitation of Liability

To the maximum extent permitted by law, MemoryX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business opportunities.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or engage in behavior that is harmful to other users or the Service.

Upon termination:

• Your right to access the Service ceases immediately.
• We may retain your data for a reasonable period to comply with legal obligations.
• You may request data export before termination by contacting support.

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the extension or by email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
